1. GENERAL OVERVIEW
1.1 Binding Agreement: This is a legally binding agreement between the Customer (referred to as "Customer") and Finch Technology Enterprise (hereinafter referred to as "FinchTech"). By using our dash (dash.finchtech.my), VPN services, or commissioning software development, you agree to these terms.
1.2 Modifications: FinchTech reserves the right to modify this agreement at any time. Continued use of services after a revision date constitutes acceptance of the new terms.
1.3 Right to Refuse Service: We reserve the right to terminate or refuse service to anyone at our sole discretion, particularly for violations of our Acceptable Use Policy (AUP) or the laws of Malaysia.
1.4 Zero Tolerance for Abuse: We are committed to a professional environment. Any form of harassment, threats, or offensive language toward FinchTech staff will result in immediate account closure and termination of all active services without refund.
2. SERVICE-SPECIFIC OBLIGATIONS
A. VPN, VLESS Proxy & VPS Services
2.1 Best Effort Delivery: While we strive for 99.9% uptime on our Malaysia and International nodes, all networking services are provided on a "best effort" basis. 2.2 Resource Usage: On shared KVM slices or Proxy nodes, a single user may not utilize more than 25% of system resources for longer than 90 seconds. 2.3 IP Blacklisting: If a Customer’s activity results in an IP address being blacklisted (e.g., SpamHaus), a RM400.00 de-listing fee will be charged. SMTP ports are blocked by default on all VPS/Proxy nodes.
B. Software Development & IT Consultancy
2.4 Scope of Work: Custom software development is governed by a separate Statement of Work (SOW). Any features requested outside the SOW are billed at an hourly consultancy rate of RM150.00/hour. 2.5 Intellectual Property: FinchTech retains ownership of proprietary backend frameworks used in development. The Customer is granted a perpetual license to use the final software product upon full payment of all invoices. 2.6 Handover & Security: Once code or hardware is handed over to the Customer, the Customer is solely responsible for security updates and credential management.
3. PAYMENTS & BILLING
3.1 Invoicing: Invoices for recurring services are issued 10 days prior to the due date. 3.2 Late Fees & Suspension: * 4 days past due: Service is suspended.
10 days past due: Service is terminated and data is purged.
A RM100.00 reconnection fee applies to re-activate suspended accounts. 3.3 Payment Methods: * Automated (0% Fee): Maybank2U (Auto), DuitNow.
Manual/Third Party: Credit Cards (RM3.00 fee), Cryptocurrency (5% handling fee), PayPal (5% handling fee).
4. CANCELLATION & REFUNDS
4.1 7-Day Money Back Guarantee: Applies only to the first purchase of a new service. Refunds are only granted if the service is technically non-functional and FinchTech support cannot resolve it. 4.2 Non-Refundable Items:
Cryptocurrency and local E-wallet payments.
Domain name registrations.
Third-party licenses (cPanel, WHMCS, SSL).
Completed consultancy or development hours. 4.3 Cancellation Notice: Recurring services require a 30-day notice for cancellation via the Client Portal.
5. DATA & BACKUPS
5.1 Customer Responsibility: FinchTech does NOT maintain backups for VPS, Dedicated Servers, or custom software environments unless a managed backup service is explicitly purchased. 5.2 Data Restoration: Requests to restore data from FinchTech’s disaster recovery systems (if available) incur a fee:
VPN/Shared: RM150.00
VPS/Consultancy environments: RM250.00
6. INDEMNIFICATION & LIABILITY
6.1 Law of the Land: Customers agree to comply with the Malaysian Personal Data Protection Act 2010 (PDPA) and the Communications and Multimedia Act 1998. 6.2 Limitation of Liability: FinchTech’s maximum liability shall not exceed the total amount paid by the Customer during the 12 months preceding a claim. We are not liable for business interruption, data loss, or loss of profits resulting from service downtime.
